Terms of Service

These Terms of Service (“Terms”) govern your access to and use of grcprofessor.com, the GRC Professor application, Professor Strixley, courses, assessments, credentials, and related services collectively referred to as the “Services.”

The Services are operated by Strixley Academy LLC, a Minnesota limited liability corporation (“GRC Professor,” “Strixley Academy,” “we,” “us,” or “our”).

By creating an account, starting a free trial, purchasing a subscription, or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use the Services.

1. Eligibility

You must be at least 13 years old to use the Services.

If you are under the age of legal majority where you live, your parent or legal guardian must review and agree to these Terms on your behalf. A parent or guardian who permits a minor to use the Services is responsible for that minor’s use of the Services.

You must be legally capable of entering into a binding agreement and must not be prohibited from using the Services under applicable law.

If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

2. Accounts

Some features require an account. When creating or maintaining an account, you agree to:

  • Provide accurate and complete information.
  • Keep your information reasonably current.
  • Maintain the confidentiality of your login credentials.
  • Use your account only for yourself unless an organizational plan expressly permits otherwise.
  • Notify us promptly if you believe your account has been accessed without authorization.

You are responsible for activity conducted through your account unless caused by our breach of these Terms or failure to use reasonable security measures.

You may not sell, transfer, sublicense, share, or provide another person with access to your account. We may require you to verify your identity or account information.

Accounts created through Google, Microsoft, or another third-party authentication provider may also be subject to that provider’s terms and policies.

3. The Services

GRC Professor provides online educational content and learning tools related to governance, risk management, compliance, controls, privacy, cybersecurity, audit, and related subjects.

The Services may include:

  • Written courses and lessons.
  • Flashcards and study materials.
  • Quizzes and knowledge assessments.
  • Scenarios and interactive exercises.
  • AI-assisted tutoring and question-and-answer features.
  • Course progress tracking.
  • Badges, certificates, and other credentials.
  • Public credential-verification pages.
  • Organizational learning and administrative features.

We may add, remove, update, reorganize, or modify courses, features, learning paths, assessments, and other content as the Services evolve.

Purchasing a subscription provides access to the Services included in the applicable plan. It does not provide permanent ownership of any particular course, feature, or item of content.

4. Educational Purposes Only

The Services are provided for educational and informational purposes.

Although GRC Professor covers legal, regulatory, risk, compliance, cybersecurity, privacy, accounting, and governance topics, the Services do not provide:

  • Legal advice.
  • Accounting or tax advice.
  • Cybersecurity consulting.
  • Regulatory advice.
  • Compliance certification.
  • An audit opinion.
  • Professional services tailored to your circumstances.

Use of the Services does not create an attorney-client, accountant-client, consultant-client, fiduciary, or other professional relationship between you and GRC Professor.

Laws, regulations, standards, frameworks, and professional practices change over time and may vary by jurisdiction and industry. You are responsible for obtaining appropriate professional advice and independently confirming information before using it to make a legal, regulatory, compliance, financial, security, or business decision.

5. Professor Strixley and Other AI Features

Professor Strixley and other artificial intelligence features are educational tools intended to help explain concepts, answer questions, and support learning.

AI-generated responses may be incomplete, inaccurate, outdated, misleading, or unsuitable for a particular situation. Even when a response is described as curriculum-backed, you should independently evaluate important information.

You agree that you will not rely exclusively on an AI-generated response for:

  • Legal or regulatory compliance.
  • Professional advice.
  • Financial or investment decisions.
  • Cybersecurity actions.
  • Employment decisions.
  • Decisions that could materially affect another person or organization.

Do not submit confidential, proprietary, regulated, or highly sensitive information to an AI feature. This includes passwords, payment card information, health information, government identification numbers, trade secrets, confidential client information, or information you do not have authority to disclose.

Access described as “unlimited” is intended for ordinary, individual educational use. It does not permit automated use, bulk requests, scraping, commercial redistribution, account sharing, or activity that unreasonably burdens the Services. We may apply reasonable technical or security limits to prevent abuse and maintain reliable access for users.

6. Subscriptions and Payments

Some Services require a paid subscription.

The price, billing period, included features, applicable taxes, and other material purchase terms will be disclosed during checkout.

By providing a payment method, you authorize us and our payment processor to charge the applicable fees, taxes, and other amounts disclosed to you.

You are responsible for keeping your payment information current. If a payment cannot be completed, we may retry the payment, suspend paid access, or cancel the subscription.

Payment processing may be provided by a third party. Your use of that payment service may also be governed by the payment provider’s terms and privacy policy.

7. Free Trials

Eligible subscriptions may begin with a free trial. The length and terms of a free trial will be disclosed when you enroll.

Unless you cancel before the free trial ends, your paid subscription will begin automatically, and your payment method will be charged for the subscription plan you selected.

Free trials are generally limited to one per person, account, payment method, household, or organization unless we state otherwise. We may revoke or limit a free trial when we reasonably believe it is being misused.

You can avoid being charged by canceling through your account before the trial ends.

8. Automatic Renewal

Paid subscriptions automatically renew unless canceled.

A monthly subscription renews for successive monthly billing periods. An annual subscription renews for successive annual billing periods. Your payment method will be charged at the beginning of each renewal period at the then-current price, plus applicable taxes.

By purchasing a subscription, you expressly authorize these recurring charges until you cancel.

We may change subscription prices or plan features. When required, we will provide advance notice before a price change applies to your next renewal.

Nothing in these Terms limits any additional notice, consent, cancellation, or renewal rights provided by applicable law.

9. Canceling a Subscription

You may cancel your subscription through the account or billing settings made available within the Services.

If the cancellation function is unavailable or you experience a technical problem, contact support@grcprofessor.com.

To avoid a renewal charge, cancellation must be completed before the applicable renewal date. Canceling stops future renewal charges but does not ordinarily result in an immediate refund.

Unless otherwise stated:

  • You will retain access through the end of the period for which you have already paid.
  • Your subscription will not renew after that period.
  • Deleting your account does not necessarily cancel an active subscription.
  • Canceling a subscription does not automatically delete your account or learning history.

We may provide renewal or subscription notices by email or through the Services.

10. Refunds

Except where required by law or expressly stated during checkout, subscription payments are nonrefundable, and we do not provide prorated refunds or credits for partially used billing periods.

We may issue a refund or credit at our discretion for matters such as duplicate charges, billing errors, or significant technical failures. Providing a discretionary refund in one circumstance does not require us to provide a refund in another.

Canceling during a free trial prevents the initial paid charge, provided the cancellation is completed before the trial ends.

Users in some jurisdictions may have mandatory withdrawal, cancellation, refund, or consumer rights. Nothing in these Terms eliminates rights that cannot lawfully be waived.

11. Corporate and Organization-Sponsored Accounts

An employer, school, professional association, or other organization may purchase or sponsor access to the Services.

Organization-sponsored access may be governed by a separate order form, subscription agreement, or written contract. If that agreement conflicts with these Terms, the separate agreement controls for the organization’s purchase and administration of the Services.

An organization sponsoring your access may be able to:

  • Add or remove users.
  • Manage your access.
  • View enrollment and subscription status.
  • View course progress and completion.
  • View assessments or earned credentials where disclosed.
  • Terminate organization-sponsored access.

Your organization’s ability to access information is also described in our Privacy Policy and any notice provided when you enroll.

Loss of organization-sponsored access may end your access to paid content even if you have not completed a course.

12. License to Use the Services

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, personal, revocable, nonexclusive, nontransferable, and nonsublicensable license to access and use the Services for your own educational and internal professional-development purposes.

This license does not transfer ownership of the Services or any content to you.

You may apply knowledge and concepts learned through GRC Professor in your work. However, unless we give you written permission, you may not:

  • Copy or reproduce substantial portions of courses or lessons.
  • Distribute course content to another person.
  • Share screenshots, assessment answers, or downloadable materials.
  • Publicly display or perform the Services.
  • Sell, rent, sublicense, or commercially exploit the content.
  • Create a competing course, database, or service using our content.
  • Remove copyright, trademark, or proprietary notices.
  • Use our content to train or evaluate an artificial intelligence model.
  • Scrape, crawl, index, download, or extract content through automated means.
  • Circumvent access controls, paywalls, or technical protections.

Reasonable quotations or references permitted by applicable copyright law are not prohibited.

13. Ownership

The Services, including their design, software, text, graphics, branding, characters, course structure, assessments, scenarios, credential designs, and other content, are owned by or licensed to GRC Professor and are protected by intellectual property laws.

“GRC Professor,” “Professor Strixley,” “Strixley Academy,” related logos, and associated branding are trademarks or service marks of their respective owners. No right to use those marks is granted except as necessary to accurately identify the Services.

Third-party names, frameworks, standards, trademarks, and materials remain the property of their respective owners. Reference to a third party does not imply sponsorship, endorsement, or affiliation unless expressly stated.

14. Your Content

“User Content” means prompts, questions, responses, comments, support communications, feedback, or other material you submit through the Services.

You retain any ownership rights you have in your User Content.

You grant us a nonexclusive, worldwide, royalty-free license to host, store, reproduce, transmit, process, and display User Content as reasonably necessary to:

  • Provide the Services.
  • Generate requested AI responses.
  • Maintain your account and learning history.
  • Investigate technical or security issues.
  • Prevent fraud or misuse.
  • Maintain and improve the Services.

Our handling of personal information is governed by our Privacy Policy.

You represent that you have the necessary rights and authority to submit User Content and that doing so does not violate another person’s rights, confidentiality obligations, or applicable law.

Do not submit material belonging to an employer, client, customer, or other third party unless you are authorized to do so.

15. Feedback

You may provide ideas, suggestions, or feedback about the Services.

You agree that we may use feedback without restriction or compensation to you, provided that we do not publicly identify you as the source without permission.

16. Credentials and Academic Integrity

GRC Professor may issue badges, certificates, completion records, or other credentials.

Credentials represent completion of the requirements established within GRC Professor. Unless expressly stated otherwise, a GRC Professor credential:

  • Is not an academic degree.
  • Does not award college credit.
  • Is not a professional license.
  • Is not an industry certification issued by a regulatory or accreditation body.
  • Does not guarantee employment, promotion, compensation, admission, licensure, or acceptance by another organization.
  • Does not establish that you are legally qualified to perform a regulated activity.

You must complete applicable learning and assessment requirements honestly and under your own account.

You may not:

  • Have another person complete work for you.
  • Complete work for another user.
  • Share assessment questions or answers.
  • Use automation to complete lessons or assessments.
  • Manipulate progress or completion records.
  • Misrepresent the identity of the person who earned a credential.
  • Alter, counterfeit, or create a misleading copy of a credential.
  • Claim a credential that has been revoked or was issued in error.

AI tools may be used to support learning where permitted, but your assessment activity must reflect your own understanding and participation.

We may withhold, correct, deactivate, or revoke a credential if we reasonably determine that it was obtained through fraud, account sharing, technical manipulation, material misconduct, or error.

17. Public Credential Pages

Some credentials may include a publicly accessible verification page.

A public credential page may display information such as:

  • Your name.
  • The credential earned.
  • The issuing organization.
  • The issuance or completion date.
  • A credential identifier.
  • A description of the completed learning area.

Anyone with the link may be able to view or share the page. You are responsible for deciding where and how to share your credential.

Contact support@grcprofessor.com if you believe a credential contains an error or you want to request that a public verification page be deactivated.

18. Acceptable Use

You agree not to use the Services to:

  • Violate any law or regulation.
  • Infringe intellectual property, privacy, publicity, or other rights.
  • Submit information you are not authorized to disclose.
  • Harass, threaten, impersonate, or defraud another person.
  • Upload malware or harmful code.
  • Probe, scan, or test the vulnerability of the Services without authorization.
  • Attempt to gain unauthorized access to an account, system, or network.
  • Interfere with the availability or operation of the Services.
  • Avoid rate limits or security controls.
  • Create multiple accounts to obtain repeated free trials.
  • Use bots, scripts, or automated systems to access content or complete learning activities.
  • Reverse engineer or attempt to obtain source code except where such restriction is prohibited by law.
  • Use the Services to develop, train, benchmark, or improve a competing artificial intelligence system or educational product.
  • Use AI features to generate unlawful, harmful, deceptive, infringing, or abusive material.
  • Resell or provide commercial access to the Services without authorization.

We may investigate suspected misuse and take reasonable action to protect users, the Services, and third parties.

19. Third-Party Services

The Services may integrate with or link to third-party services, including authentication providers, payment processors, artificial intelligence providers, analytics services, and social media platforms.

Third-party services are controlled by their respective providers. We are not responsible for their independent services, content, availability, or practices.

Your use of a third-party service is governed by that provider’s terms and privacy policies.

20. Service Availability and Changes

We work to maintain reliable access but do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

Access may be interrupted by:

  • Maintenance.
  • Software updates.
  • Hosting or network failures.
  • Third-party provider outages.
  • Security incidents.
  • Events outside our reasonable control.

We may modify or discontinue a feature, course, learning area, credential, or other part of the Services. When reasonably practicable, we will attempt to avoid materially disrupting active paid subscriptions.

We do not guarantee that any particular course, feature, framework, instructor, credential, or AI model will remain available indefinitely.

21. Suspension and Termination

You may stop using the Services at any time. You may also request account deletion as described in our Privacy Policy.

We may suspend, restrict, or terminate your access if we reasonably believe that:

  • You violated these Terms.
  • Your use poses a security, legal, or operational risk.
  • You engaged in fraud, abuse, or academic misconduct.
  • Payment is overdue or cannot be processed.
  • We are required to act by law or a third-party provider.
  • Continuing to provide the Services is no longer commercially or technically feasible.

When reasonable, we will provide notice and an opportunity to address the issue. Immediate action may be taken when necessary to protect users, the Services, or third parties.

Termination for a material violation does not entitle you to a refund.

Sections that by their nature should survive termination—including ownership, disclaimers, limitations of liability, indemnification, and dispute provisions—will remain effective.

22. Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided “as is” and “as available.”

We disclaim implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, and uninterrupted availability.

We do not warrant that:

  • The Services will meet every user’s needs.
  • Course content will be complete or error-free.
  • AI-generated responses will be accurate.
  • Use of the Services will ensure legal or regulatory compliance.
  • You will pass an examination or obtain a certification.
  • A credential will be accepted by an employer or institution.
  • Use of the Services will produce a particular career or business result.
  • Defects will always be corrected immediately.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent permitted by law.

23. Limitation of Liability

To the fullest extent permitted by law, GRC Professor, Strixley Academy, and their owners, officers, employees, contractors, licensors, and service providers will not be liable for:

  • Indirect, incidental, special, consequential, exemplary, or punitive damages.
  • Lost profits, revenue, opportunities, goodwill, or anticipated savings.
  • Loss or corruption of data.
  • Business interruption.
  • Decisions made in reliance on course content or AI-generated responses.
  • Conduct or services of a third party.

To the fullest extent permitted by law, our total liability arising out of or relating to the Services or these Terms will not exceed the greater of:

  1. The amount you paid to us for the Services during the 12 months immediately preceding the event giving rise to the claim; or
  2. $100.

These limitations apply regardless of the form of action and even if we were advised that damages were possible.

Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud, willful misconduct, or personal injury caused by negligence where applicable law prohibits such a limitation.

24. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless GRC Professor, Strixley Academy, and their owners, officers, employees, contractors, and service providers from third-party claims, damages, losses, and reasonable expenses arising from:

  • Your unlawful use of the Services.
  • Your material violation of these Terms.
  • Your User Content.
  • Your infringement of another person’s rights.
  • Your misuse or unauthorized disclosure of information obtained through the Services.

This section does not require you to indemnify us for our own fraud, willful misconduct, or violation of law.

This section applies to consumers only to the extent permitted under applicable consumer-protection law.

25. Copyright and Intellectual Property Complaints

We respect intellectual property rights.

If you believe content available through the Services infringes your copyright or other intellectual property rights, contact:

Your notice should include:

  • Identification of the protected work.
  • Identification of the allegedly infringing material.
  • Information sufficient for us to locate the material.
  • Your name and contact information.
  • A statement explaining why you believe the use is unauthorized.
  • A statement that the information in your notice is accurate and that you are authorized to act for the rights holder.

We may remove or restrict access to material while reviewing a complaint.

26. Privacy

Our Privacy Policy explains how we collect, use, retain, and disclose personal information.

By using the Services, you acknowledge that your information will be handled as described in the Privacy Policy.

The Privacy Policy is incorporated into these Terms by reference.

27. International Use

The Services are operated from the United States.

You are responsible for complying with laws applicable where you access or use the Services. We do not represent that the Services are appropriate or legally available in every jurisdiction.

You may not use the Services in violation of applicable export-control, trade-sanctions, or restricted-party laws.

If the Services are directed to consumers in your country, nothing in these Terms deprives you of mandatory consumer rights that apply based on your place of residence.

28. Informal Dispute Resolution

Before filing a legal claim, you and GRC Professor agree to attempt to resolve the dispute informally.

To begin the process, send a description of the dispute and the requested resolution to support@grcprofessor.com.

The parties will attempt in good faith to resolve the matter for at least 30 days after the notice is received. This requirement does not prevent either party from seeking urgent injunctive relief or filing an eligible small-claims action.

29. Governing Law and Venue

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law principles.

Except for an eligible small-claims matter or a request for urgent injunctive relief, any legal proceeding arising out of or relating to these Terms or the Services must be brought in the state or federal courts located in Hennepin County, Minnesota, and each party consents to the jurisdiction of those courts.

If you are a consumer located outside Minnesota, this section does not eliminate mandatory rights or legal protections that apply in your place of residence.

30. Changes to These Terms

We may update these Terms as the Services, our business, or applicable laws change.

When we update the Terms, we will revise the “Last Updated” date. For material changes, we may provide additional notice through the Services or by email.

Changes ordinarily apply prospectively after they become effective. Your continued use of the Services after the effective date of updated Terms constitutes acceptance of those updated Terms.

If you do not agree to a material change, you must stop using the Services and cancel any active subscription before its next renewal.

31. Electronic Communications

You agree that we may provide agreements, disclosures, receipts, renewal notices, service notices, and other communications electronically, including by email or through the Services.

You are responsible for maintaining a current email address and reviewing communications associated with your account.

Electronic communications satisfy any legal requirement that a communication be in writing to the extent permitted by law.

32. Miscellaneous

Entire Agreement

These Terms, the Privacy Policy, applicable checkout disclosures, and any separate written agreement between you and us constitute the entire agreement regarding the Services.

Order of Precedence

If a separate signed agreement or corporate order form conflicts with these Terms, the separate agreement controls to the extent of the conflict.

Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, financing, sale of assets, or transfer of the Services.

Severability

If a provision of these Terms is found unenforceable, the remaining provisions will continue in effect. The unenforceable provision will be interpreted or modified only to the minimum extent necessary to make it enforceable.

No Waiver

Failure to enforce a provision does not waive the right to enforce it later.

No Third-Party Beneficiaries

Except where expressly stated, these Terms do not create rights for any third party.

Headings

Section headings are provided for convenience and do not affect interpretation.

Force Majeure

We are not responsible for delays or failures caused by circumstances outside our reasonable control, including natural disasters, utility or internet failures, government actions, labor disputes, war, civil unrest, epidemics, cyberattacks, or failures of third-party service providers.
